Jim Clemons concentrates his practice in the areas of financial services, commercial transactions, regulatory compliance, and general corporate matters. The bulk of his practice is spent advising various types of entities on the formation and operation of captive insurance companies, with an emphasis on risk retention group issues. Jim has extensive experience with insurance company conversions, including demutualizations, mutual holding company formations, and reciprocal conversions. He also represents business entities on commercial transactions, including mergers and acquisitions, as well as contract and financing issues. His banking practice includes advising Vermont banks on state and federal regulatory issues and working with national mortgage lenders on captive insurance programs. Jim graduated cum laude from Williams College in 1974 and magna cum laude from Vermont Law School in 1991. Following law school, he served as Law Clerk to Chief Justice Frederic W. Allen of the Vermont Supreme Court and was admitted to the Vermont Bar in 1992. He joined the firm in 1992 and became a Shareholder in 1995.
