Denise Deschenes concentrates her practice in the areas of financial services, securities and business transaction law. Denise advises both banking and non-banking financial institution clients on a broad range of legal, regulatory and legislative issues, including licensing and chartering, expanded activities, financial privacy, product development and documentation, electronic banking and commerce, commercial and consumer lending and leasing documentation and compliance, bank branching (including interstate branching), mergers and acquisitions, charter conversions, and financing and investment transactions. Denise represents securities issuers in connection with federal and state law aspects of public and private securities offerings and ongoing corporate disclosure and securities compliance. She represents broker-dealers and investment advisors in connection with regulatory compliance and enforcement matters. She also advises a variety of business entities in connection with general organizational, governance, financing and transactional issues. Denise graduated with honors from Colgate University in 1977 and from Boston University School of Law in 1980, where she served as an Editor of the Law Review. She was admitted to the Vermont Bar in 1980 and the U. S. District Court District of Vermont in 1982. She was a founding Shareholder of Primmer & Piper Professional Corporation. She is a past Chair of the Vermont Bar Association's Interprofessional Relations - Bankers Committee and served on a special committee of legal and banking professionals who worked with the Vermont Department of Banking, Insurance, Securities and Health Care Administration on a recodification project to modernize Vermont's banking statutes.
